Terms of Use

1. General Provisions

These Terms of Use (the "Terms") govern the relationship between the Operator of the EduSystem Platform (edusystem.app) (the "EduSystem", "we") and any person using the EduSystem platform (the "User", "you").

By using the edusystem.app website or the EduSystem platform in any form, you agree to these Terms. If you do not agree, please discontinue use of the platform.

These Terms apply together with the Privacy Policy. In case of conflict regarding personal data processing, the Privacy Policy shall prevail.

Key terms:

  • Platform — the EduSystem software product, provided as a white-label LMS solution for educational organizations as well as private specialists (tutors, trainers, instructors, coaches, online course authors, and other education service providers).
  • Partner — a legal entity, a sole proprietor, or another entity (an educational organization, private tutor, trainer, coach, author of an educational program, etc.) that has entered into an agreement with EduSystem to use the Platform for its own branded school.
  • Member / Student — the end user registered by a Partner on the Platform to take courses.
  • Plan — one of the service packages (Free, Silver, Gold, Platinum) that determines the scope of functionality available to the Partner.
  • White-Label Pro — a separate paid product (one-time setup) that provides the Partner with a custom domain, a dedicated server, and extended customization of logic and the admin panel.

2. About the EduSystem Service

EduSystem is a technology partner, not a self-serve SaaS platform. This means:

  • We personally configure a branded school for each Partner
  • Each Partner is assigned a personal partner manager
  • We support the Partner at every stage — from launch to scaling

The Platform is international and built for a global audience, including languages written right-to-left. The EduSystem team communicates directly in Ukrainian, Russian, English, and Armenian; support in other languages is available through AI tools.

3. Registration and Status of the Parties

  • The party to the agreement with EduSystem is the Partner — registration is available both for legal entities (educational organizations) and for sole proprietors (private tutors, trainers, instructors, coaches, etc.).
  • The person registering a Partner confirms that they have the authority to act on its behalf and are at least 18 years old.
  • Members (students) do not enter into an agreement with EduSystem directly and do not pay for use of the Platform — the "student–school" relationship is governed by the agreement between the student and the Partner.
  • The Partner is solely responsible for the lawfulness of collecting and processing its students' data on its own school.

4. Plans and Payment

  • The Platform offers the Free, Silver, Gold, and Platinum plans, details of which are listed on the Pricing page.
  • Annual payment comes with a 20% discount off the monthly plan price.
  • Payments are processed through third-party payment services; EduSystem does not store bank card data (see the Privacy Policy for details).
  • Plan prices may change; the Partner will be notified in advance of any change to the price of an active plan.
  • In the event of overdue payment, EduSystem reserves the right to suspend access to the Platform until the outstanding balance is settled.

5. White-Label and White-Label Pro

Standard White-Label (included in the plans):

  • Subdomain on edusystem.app
  • Cosmetic customization (logo, colors)
  • Fixed platform logic

White-Label Pro (a separate paid product, one-time payment from $900):

  • Custom domain
  • Dedicated server for the organization
  • Customization of logic, functionality, and the admin panel, unique layout
  • Infrastructure, updates, and security remain EduSystem's responsibility

After White-Label Pro launch:

  • Minor changes (15–30 minutes of work) are provided free of charge
  • Larger volumes of work are billed separately at a rate of $10/hour

White-Label Pro is an alternative to hiring an in-house development team: the Partner gets a ready-made solution and a team already familiar with the product.

Additional paid services. In addition to the plans and White-Label Pro, EduSystem may, upon separate request, provide the Partner with other paid services — including a service for populating the branded school with content (courses, learning materials, etc.). The list and cost of such services vary and are listed on the Pricing page or provided individually via edusystem.app/contact. Regardless of whether the content was prepared by the Partner itself or by the EduSystem team as part of a paid service, responsibility for the content remains with the Partner (see Section 8).

6. Refund Policy

  • Monthly plans: amounts paid for the current billing period are non-refundable; the Partner may cancel the subscription at any time, with access retained until the end of the paid period.
  • Annual plans: within 14 days of payment, the Partner is entitled to a full refund, provided that active customization of the school has not yet begun. After 14 days, refunds are issued on a pro-rata basis for the unused period, less the cost of setup work already performed.
  • White-Label Pro (one-time payment from $900): funds are non-refundable once setup work (domain, server, and logic customization) has begun. If work has not yet begun, a full refund is possible within 7 days of payment.
  • All refund requests are submitted via edusystem.app/contact and are reviewed within 14 business days.

7. Rights and Obligations of EduSystem

We undertake to:

  • Operate the Platform in accordance with the Partner's selected plan
  • Personally configure the Partner's branded school
  • Provide technical support to the Partner and its students
  • Notify Partners of material changes to the Platform and these Terms

We reserve the right to:

  • Update and modify the Platform's functionality
  • Temporarily suspend access for technical maintenance
  • Refuse service to a Partner that violates these Terms or applicable law

8. Rights and Obligations of the Partner

The Partner undertakes to:

  • Provide accurate information upon registration
  • Use the Platform in accordance with its intended purpose and applicable law
  • Be solely responsible for the content posted on its branded school (courses, materials, communication with students) — regardless of whether the Partner populates the school with content itself or uses EduSystem's paid content-population service
  • Not use the Platform to distribute unlawful or fraudulent content, or content that infringes the rights of third parties
  • Not attempt to circumvent the technical limitations of its plan, reverse-engineer the Platform, or gain unauthorized access to EduSystem's infrastructure

9. Content and Intellectual Property

  • The EduSystem software code, design, and trademark are the property of EduSystem.
  • All learning content (courses, materials, branded-school branding) uploaded by the Partner remains the Partner's property.
  • EduSystem does not claim any rights to the Partner's content and uses it solely to provide the Platform's services.
  • The Partner bears full responsibility for holding the rights to any content it posts.

10. Certificates

Certificates of course completion are issued by the Partner, not by EduSystem. EduSystem provides only the technical tools for their generation and issuance.

11. Technical Support and AI Tools

  • EduSystem's technical support covers both the Partner and its students within the scope of the Platform's operation.
  • The Platform may use AI tools to help students and Partners with common questions and tasks.
  • Support is available through the channels listed on the Contact page.

12. Privacy and Data Protection

Processing of personal data is governed by a separate Privacy Policy. The Platform's servers are located within the European Union in accordance with GDPR requirements.

13. Limitation of Liability

  • The Platform is provided "as is." EduSystem makes reasonable efforts to ensure uninterrupted operation but does not guarantee the complete absence of technical failures.
  • EduSystem is not liable for the content of learning materials, teaching quality, or any disputes between a Partner and its students.
  • EduSystem's aggregate liability to a Partner for any claims is limited to the amount paid by the Partner over the preceding 3 months of Platform use.
  • EduSystem is not liable for indirect damages, lost profits, or reputational losses of the Partner.

14. Suspension and Termination of Access

  • The Partner may discontinue use of the Platform at any time by notifying us via edusystem.app/contact.
  • EduSystem has the right to suspend or terminate a Partner's access in the event of a violation of these Terms, non-payment, or unlawful use of the Platform.
  • Upon termination of the partnership, the Partner is given a reasonable period to export its students' data (details to be arranged individually with the partner manager).

15. Force Majeure

Neither party shall be liable for failure to perform its obligations caused by circumstances of insurmountable force (force majeure), including war, natural disasters, actions of government authorities, or large-scale internet infrastructure failures.

16. Changes to the Terms

We reserve the right to update these Terms. In the event of material changes, Partners will be notified via the website or by email. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Ukraine.
  • All disputes shall be resolved through negotiation. If no agreement is reached, the dispute shall be referred to the court at the place of registration of the Platform Operator in accordance with the applicable law of Ukraine.
